Terms of Service

By accessing or using Fluxira ERP ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Fluxira Technologies Pvt Ltd ("Fluxira", "we", "us", "our"). These Terms apply to all visitors, users, and others who access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

The Service is intended for use by manufacturing businesses and their authorized personnel. By using the Service, you represent and warrant that:

• •You are at least 18 years of age
• •You have the legal authority to bind the organization you represent
• •Your organization is a legally registered business entity
• •All information you provide during registration is accurate and complete
• •You will maintain the accuracy of such information

We reserve the right to suspend or terminate accounts that we reasonably believe are being used by individuals who do not meet these eligibility requirements.

To access certain features, you must create an account. You are responsible for:

• •Maintaining the confidentiality of your account credentials
• •All activities that occur under your account
• •Immediately notifying us of any unauthorized use
• •Ensuring that your team members comply with these Terms

We strongly recommend enabling two-factor authentication (2FA) for all accounts. Fluxira is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain adequate security.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• •Use the Service for any unlawful purpose or in violation of any applicable regulations
• •Attempt to gain unauthorized access to any part of the Service or its related systems
• •Introduce malware, viruses, or other malicious code
• •Interfere with or disrupt the Service or servers
• •Use the Service to transmit spam, phishing, or other unsolicited communications
• •Reverse engineer, decompile, or disassemble any part of the Service
• •Resell, sublicense, or distribute the Service without written authorization
• •Use the Service to develop a competing product or service
• •Exceed rate limits or abuse API access
• •Misrepresent your identity or affiliation

Violation of this policy may result in immediate account suspension or termination without prior notice.

Plans and Pricing

Fluxira ERP offers tiered subscription plans (Starter, Professional, Enterprise) as described on our Pricing page. Prices are listed in Indian Rupees (₹) and are exclusive of applicable taxes unless stated otherwise.

Free Trial

New accounts receive a 14-day free trial with access to Professional-tier features. No credit card is required to start the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Billing Cycle

Subscriptions are billed monthly or annually, depending on your chosen billing cycle. Annual plans receive a 20% discount. Payment is due in advance at the start of each billing period.

Payment Methods

We accept credit/debit cards (Visa, Mastercard, RuPay), UPI, net banking, and bank transfers. Enterprise customers may arrange invoicing and wire transfer payment.

Price Changes

We may change pricing with 60 days advance notice. Price changes take effect at the start of your next billing cycle after the notice period. Existing annual subscribers are unaffected until their annual renewal.

Refunds

We offer a 30-day money-back guarantee on all plans. If you are not satisfied within 30 days of your first subscription payment, contact us for a full refund. Refund requests after 30 days are handled on a case-by-case basis.

Ownership

You retain all rights, title, and interest in any data, information, or content that you upload, submit, or make available through the Service ("Your Data"). These Terms do not grant us any ownership rights to Your Data.

License to Process

By using the Service, you grant Fluxira a limited, non-exclusive license to process Your Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your data or close your account.

Data Export

You may export Your Data at any time using the built-in export features. We provide data in standard formats (CSV, Excel, JSON). Upon account closure, we will provide a final data export for 60 days.

Data Deletion

After account closure, Your Data is retained for 60 days to allow for data recovery, then permanently deleted. Enterprise customers can request immediate deletion. Anonymized and aggregated analytics derived from Your Data may be retained.

Data Portability

We support data portability in compliance with applicable data protection regulations. You may request a complete data export at any time.

The Service, including all software, content, design, logos, trademarks, and documentation, is the exclusive property of Fluxira Technologies and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right to use Fluxira's trademarks, logos, brand names, or other brand features without prior written consent.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Fluxira an unrestricted, perpetual, irrevocable license to use such feedback for any purpose without obligation to you.

When you use Fluxira ERP, you act as the Data Controller for your business data. Fluxira acts as the Data Processor, processing data on your behalf and in accordance with your instructions.

Our Data Processing Agreement (DPA) is incorporated into these Terms and governs the processing of personal data. Key provisions include:

• •We process data only as documented in your instructions
• •We implement appropriate technical and organizational security measures
• •We do not engage sub-processors without your prior notification
• •We assist you in responding to data subject requests
• •We notify you promptly of any data breach
• •We delete or return all personal data upon termination

Enterprise customers may request a custom DPA to address specific regulatory requirements.

Uptime SLA

We strive to maintain the following uptime guarantees:

• •Starter: 99.5% monthly uptime
• •Professional: 99.9% monthly uptime
• •Enterprise: 99.99% monthly uptime

Scheduled maintenance windows are communicated at least 72 hours in advance. Emergency maintenance may occur without prior notice.

Support

• •Starter: Email support (24-hour response)
• •Professional: Priority support (4-hour response)
• •Enterprise: Dedicated account manager, phone support, custom SLA

Limitations

We are not responsible for service interruptions caused by factors beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• •FLUXIRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• •OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• •WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• •WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Fluxira has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above limitations may not apply to you. In such cases, our liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Fluxira Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

• •Your use of the Service
• •Your violation of these Terms
• •Your violation of any applicable law or regulation
• •Your Data or your use of Your Data
• •Any dispute between you and a third party

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time within a billing period.

By Us

We may suspend or terminate your account if:

• •You breach these Terms or the Acceptable Use Policy
• •Your payment method fails and is not updated within 7 days
• •We are required to do so by law
• •We reasonably believe your use poses a security risk

Effect of Termination

Upon termination:

• •Your access to the Service ceases immediately
• •Your data is retained for 60 days for export
• •Outstanding payment obligations survive termination
• •Sections on IP, liability, indemnification, and governing law survive termination

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996.

• •Entire Agreement: These Terms constitute the entire agreement between you and Fluxira
• •Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• •Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• •Assignment: You may not assign these Terms without our written consent; we may assign them freely
• •Force Majeure: Neither party is liable for delays caused by events beyond reasonable control
• •Notices: We will send notices to the email address associated with your account
